These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and BetaRoute AI Technologies Limited, a company incorporated in the Federal Republic of Nigeria ("Company", "we", "us", or "our"), governing your access to and use of BetaPayAI ("BetaPayAI", "Service", or "Platform").

By creating or using a BetaPayAI account, funding a wallet, sending messages to our WhatsApp or Telegram channels, visiting betapayai.com, or otherwise using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (together, the 'Agreement'). If you do not agree, you must not use the Service.

We may offer the Service through multiple channels, including WhatsApp, Telegram, and our website. Your use of third-party messaging platforms is also subject to those platforms' own terms and policies.

BetaPayAI is an AI-powered conversational payments platform that enables users in Nigeria to fund a prepaid wallet and purchase digital goods and bill-payment services through natural-language chat.

The Service may include, where available: mobile airtime and data; electricity tokens for supported Nigerian Distribution Companies (DISCOs); cable television subscriptions; betting wallet top-ups for supported licensed betting operators; and examination registration pins (including WAEC, NECO, NABTEB, and JAMB, where supported).

We may enable single-recipient and multi-recipient purchases, promotional deposit bonuses, service-status notices, and additional billers or categories from time to time. Products, networks, billers, denominations, and channels available in chat may differ from marketing materials on our website. A product listed as 'coming soon' or shown on a status page is not a commitment to availability.

BetaRoute AI Technologies Limited is a technology and payments facilitation platform. We are not a bank, deposit-taking institution, mobile network operator, electricity distribution company, cable operator, betting operator, or examination body. Value is delivered through third-party networks, billers, and licensed partners.

You must be at least eighteen (18) years old and legally capable of entering into binding contracts under Nigerian law to use the Service.

You must be resident in Nigeria or otherwise eligible to use Nigerian Naira (NGN) payment services and the billers we support. The Service is designed for the Nigerian market.

You represent and warrant that: (a) all information you provide is true, accurate, and complete; (b) you will keep your recovery email and contact details current; (c) you are using the Service for lawful personal purposes (or duly authorized business purposes where permitted); and (d) you are not subject to sanctions or restrictions that would prohibit your use of payment services.

Your account is linked primarily to your WhatsApp identity (phone number). You may optionally link Telegram to the same wallet subject to our channel-linking procedures. You are responsible for all activity conducted through channels authenticated to your account.

Your BetaPayAI wallet holds Nigerian Naira (NGN) prepaid balance for use in authorized transactions. Wallet funds are not a bank deposit, do not earn interest, and are not protected by deposit insurance.

Wallet funding is processed through licensed payment partners we designate. Supported funding methods may include debit/credit cards, bank transfer, USSD, and other channels made available at checkout. We credit your wallet with the amount you request to fund, not third-party processing fees charged by banks or card issuers.

Funding is subject to successful payment confirmation by our payment partners. If you believe you were charged incorrectly or twice, contact support promptly with payment references.

Successful wallet funding cannot be withdrawn to your bank or card. Unused wallet balance is for BetaPayAI services only. See the Refund Policy at betapayai.com/refund_policy.

While your account is paused (see Section 8), outgoing purchases and bot responses may be blocked, but incoming wallet credits from successful funding may still be applied.

We may set minimum and maximum funding amounts, daily limits, and wallet balance caps. We may refuse or reverse funding that we reasonably suspect is fraudulent, erroneous, or non-compliant.

When you instruct BetaPayAI to purchase airtime, data, electricity tokens, cable subscriptions, betting top-ups, exam pins, or other supported services, you authorize us to debit your wallet (including applicable service fees) and instruct our partners to deliver the product or service.

You must verify recipient phone numbers, meter numbers, smartcard/IUC numbers, betting account identifiers, examination types, amounts, networks, and billers before confirming. Transactions you confirm in chat are treated as authorized by you.

Delivery is typically near-instant but depends on third-party systems, network conditions, and biller maintenance. We do not guarantee uninterrupted availability of any network, biller, or payment channel.

If a transaction fails after your wallet has been debited and the product or service is not delivered, we will attempt to refund the purchase amount (and associated service fees where applicable) to your BetaPayAI wallet automatically or after investigation. Partial failures in multi-recipient purchases may result in partial refunds. Failed-purchase refunds are not paid out to your bank or card. See the Refund Policy at betapayai.com/refund_policy.

Receipts and transaction references are provided in chat or via links we send. You should retain references for your records.

We use transaction PINs, email one-time passwords (OTP), and channel verification to protect your account. You must not share your PIN, OTP codes, magic links, or channel-link codes with anyone — including persons claiming to be BetaPayAI staff. We will never ask for your PIN in chat.

Authentication requirements may vary based on transaction type, amount, and security events. Temporary spending limits may apply after certain security events.

Repeated incorrect PIN attempts may result in temporary lockout. We may require email verification to set or reset your PIN.

You are solely responsible for securing access to your WhatsApp account, Telegram account, email inbox, and devices. We treat instructions received from your registered channels as yours unless we have reasonable evidence of compromise.

If you suspect unauthorized access, use the account pause feature at betapayai.com/security and contact support immediately.

Prices for airtime, data, utilities, betting top-ups, and exam pins are based on third-party rate cards and our pricing. Applicable amounts, fees, and totals are shown or confirmed in chat before you authorize payment.

Service fees, multi-recipient fees, and promotional rules may change. Network operators, DISCOs, cable providers, and betting operators may change their own tariffs without notice.

Deposit bonus campaigns, cashback, or promotional credits may be offered subject to separate campaign rules (eligibility, caps, expiry, and clawback on reversal). Promotional value has no cash value outside the Service except where expressly stated.

Your bank, card issuer, or mobile money provider may charge separate fees for funding; those charges are outside our control.

Voluntary pause: You may request a secure link by email at betapayai.com/security to pause or unpause your account. You must confirm on our website to complete the action. While paused by you, spending and chat bot responses are blocked; unpause is available only through the website flow, not via chat instructions.

Voluntary account deletion: You may request deletion of your account in the app (Settings → Profile → Delete account) or by messaging us on WhatsApp or Telegram (for example, "delete my account"). Wallet funds cannot be paid out, so your wallet must hold less than ₦1 when you ask; any kobo left is cleared when your account is deleted. We will ask why, to help us improve the Service. Your account is then paused for 180 days, during which you may cancel the request (in the app, or by messaging "cancel deletion"), and is deleted automatically when that period ends. Certain information — including transaction and financial records we are required to keep for legal, tax, AML, or regulatory compliance — will be retained or anonymized as described in our Privacy Policy, even after your account is deleted.

Administrative pause or freeze: We may pause, limit, freeze, or terminate your account immediately if we reasonably suspect fraud, money laundering, terrorist financing, abusive or unlawful conduct, violation of these Terms, excessive chargebacks, compromised credentials, or harm to the Platform, users, or partners.

Serious misconduct: If we determine that you engaged in unauthorized, hostile, or abusive activity toward BetaPayAI, its users, or its systems, we may permanently restrict or terminate your account. Such accounts receive notice referencing these Terms and may not be reactivated through self-service tools. Reinstatement, if any, requires our sole discretion.

Upon suspension or termination, we may hold or refund wallet balances subject to identity verification, anti-fraud review, legal obligations, and offset for chargebacks or amounts owed to us or partners.

You agree to use the Service only for lawful purposes in compliance with all applicable Nigerian laws and regulations, including anti-money laundering (AML), counter-terrorist financing (CTF), and consumer protection laws.

You must not: (a) use the Service for fraud, scams, or unauthorized purchases on behalf of others without consent; (b) attempt to hack, penetrate, reverse-engineer, scrape, overload, or disrupt the Platform or its partners; (c) submit malicious code or attempt to bypass security controls; (d) circumvent authentication or spending limits; (e) use unauthorized automation; (f) resell or commercially exploit the Service without our written consent; (g) use the Service in violation of network, biller, or betting operator policies; or (h) harass our staff or other users.

We employ monitoring and review systems to detect abuse. Violations may result in immediate suspension, permanent restriction, forfeiture of promotional benefits, reporting to authorities, and legal action.

Betting wallet top-ups are provided solely as a payment convenience to fund accounts with third-party licensed betting operators we support. We do not operate betting, gaming, lottery, or gambling services, set odds, accept wagers, or pay winnings.

You must comply with the terms, age restrictions, and responsible-gaming policies of the relevant betting operator. You represent that you are legally permitted to use betting services in Nigeria and that top-ups are for your own authorized betting account unless you have explicit permission from the account holder.

Betting top-ups may be subject to minimum and maximum amounts. We may remove or restrict betting services at any time for legal, regulatory, or commercial reasons.

We encourage responsible gaming. If you have a gambling problem, seek help from appropriate support organizations before using betting top-up features.

BetaPayAI uses artificial intelligence to interpret your messages, suggest products, answer common questions, and help keep the Service secure. AI outputs may occasionally be inaccurate or incomplete.

You remain responsible for verifying transaction details at confirmation. Do not rely on the AI for legal, tax, investment, or medical advice.

We may log and analyze chat interactions to operate, secure, and improve the Service, as described in our Privacy Policy.

The Service depends on third parties including messaging platforms, payment processors, VTU and bill-payment partners, mobile networks, DISCOs, cable operators, betting operators, and infrastructure providers. We are not responsible for outages, policy changes, or failures caused by third parties outside our reasonable control.

We may display service status information on betapayai.com/status. During major outages or maintenance, certain purchases may be blocked to prevent failed transactions.

Links to third-party websites (including betting operators and payment pages) are provided for convenience. We do not control and are not liable for third-party content or practices.

All rights, title, and interest in BetaPayAI — including software, proprietary systems, trademarks, logos, trade dress, documentation, and website content — belong to BetaRoute AI Technologies Limited or its licensors.

You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, lawful purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from our technology or branding without prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that AI interpretations will always be correct.

We are not responsible for products or services supplied by third-party networks, billers, or betting operators, including quality, legality, or fitness of electricity tokens, data bundles, cable subscriptions, or betting credits once delivered to their systems.

To the fullest extent permitted by Nigerian law, BetaRoute AI Technologies Limited and its directors, officers, employees, contractors, agents, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, or business opportunity, arising from or related to the Service, even if advised of the possibility of such damages.

Our aggregate liability for all claims arising out of or relating to the Service in any twelve (12) month period shall not exceed the greater of: (a) the total service fees (excluding principal transaction amounts) you paid to us during that period; or (b) the amount of the specific disputed transaction giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law (including fraud or wilful misconduct by us).

You agree to defend, indemnify, and hold harmless BetaRoute AI Technologies Limited and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your use or misuse of the Service; (b) your breach of these Terms; (c) your violation of any law or third-party rights; (d) incorrect recipient or account details you provide; or (e) dispute between you and a betting operator, network, or biller.

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

Before initiating formal proceedings, you agree to contact support@betapayai.com and allow thirty (30) days for good-faith resolution.

If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, except where mandatory consumer protection rules grant you rights in another Nigerian forum.

We are not liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, power or internet failures, messaging platform outages, payment partner outages, or biller system failures.

We may amend these Terms at any time. Material changes will be posted at betapayai.com/terms with an updated effective date and, where appropriate, notified via the Service or email.

Continued use after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service and request closure of your wallet subject to Section 8.

Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service.

Severability: If any provision is held invalid, the remaining provisions remain in effect.

No waiver: Failure to enforce a provision is not a waiver of future enforcement.

Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.

Language: These Terms are written in English. Translated versions, if any, are for convenience; the English version controls in case of conflict.
